Overview
Anne Kim is a tax partner in the Los Angeles office of Kirkland & Ellis LLP. Anne has a broad-based practice and handles a wide range of complex transactions, advising private equity funds, public and private companies and publicly traded partnerships on the tax aspects of mergers and acquisitions, divestitures, spin-offs, cross-border transactions, formation of joint ventures and capital markets and debt financings. Anne has been recognized for her work in tax by Chambers USA every year since 2014.

Representative Matters
Since joining Kirkland, Anne has been involved in the following matters:
- Ares Management Corporation, a leading global alternative investment manager, in its Rule 144A offering of $500 million of senior notes.
- Hello Sunshine on an agreement for a approximately $1 billion majority investment by two leading entertainment executives and backed by Blackstone.
- Clearlake Capital Group-backed Janus, a manufacturer and supplier of turn-key building solutions and new access control technologies for the self-storage and other industrial sectors, in its $1.9 billion business combination with Juniper Industrial Holdings (NYSE: JIH), a special purpose acquisition company.
- Guitar Center on its emergence from bankruptcy including a recapitalization.
- Ares Management in its acquisition of Landmark Partners, one of the largest and most experienced investors in acquiring secondary private fund ownership stakes in the alternative asset management industry in a transaction valued at $1.08 billion.
- Horizon Acquisition Corporation in its acquisition of Vivid Seats, a leading sports, concert and theater ticket marketplace. The combined companies are estimated to have an equity market capitalization of approximately $1.95 billion at the close of the deal.
- AppFolio, Inc., a leading provider of cloud-based business software solutions, services and data analytics, in its sale of MyCase, Inc., which provides legal practice and case management software solutions, to Funds advised by Apax Partners.
- Forest Road in its three-way merger with Beachbody Company Group and Myx Fitness in a transaction valued at approximately $3 billion.
- Ares Management in its acquisition of a majority interest in SSG Capital.
- Neiman Marcus Group and affiliates in their pre-arranged Chapter 11 cases. The Company successfully completed its restructuring of over $5.5
billion of funded indebtedness in under five months. expense, and preserved more than 13,000 jobs. - Forever 21 Inc. and its affiliates in their Chapter 11 restructuring in the U.S. Bankruptcy Court for the District of Delaware.
- Funds affiliated with Ares Management in their acquisition of Cooper's Hawk Winery & Restaurants
- Aspida Financial in its pending acquisition of Pavonia Life Insurance Company of Michigan and its insurance operations.
- National Veterinary Associates in its sale to JAB Investors.
- Smart & Final Stores, Inc. in its sale to Apollo Global Management in an all cash transaction valued at approximately $1.12 billion.
- Nexus Capital Management in its GP-led secondary sale of its new fund.
Prior to joining Kirkland, Anne was involved in the following matters:
- Ares Management in its conversion to a corporation from a limited partnership and its original IPO as a publicly traded partnership.
- Funds affiliated with LightBay Capital and Freeman Spogli & Co. in their acquisition of FASTSIGNS.
- Guitar Center and 99 Cents Only in complex debt restructurings.
- Environmental Resources Management Group, Inc., a portfolio company of Charterhouse Capital Partners, LLP, in its $1.7 billion sale to Omers Private Equity.
- Funds affiliated with Ares Management in their numerous acquisitions, including the acquisitions of Neiman Marcus Group, Smart & Final and Insight Global.
- Ares Management in its acquisition of AREA Property Partners, a real estate management firm.
- Ares Management, L.P. in its IPO and various debt and equity offerings.
- Suburban Propane in its $1.8 billion acquisition of Inergy, L.P. retail propane operations and related public equity offering and debt offering.
- Abu Dhabi Investment Authority in multiple real estate investments in the United States.
- Grifols S.A. in its $1.7 billion acquisition of the blood-transfusion diagnostics unit of Novartis AG and related debt offering.
- United Airlines in its merger with Continental Airlines.
- Bristol-Myers Squibb Company in its split-off of Mead Johnson Nutrition Company.
- Kraft Foods Inc. in its disposition of the Post cereal business to Ralcorp Holdings, Inc. in a reverse Morris Trust transaction.
- Weyerhaeuser Company in its disposition of the fine paper business to Domtar Inc. in a reverse Morris Trust transaction and its sale of the containerboard packaging and recycling business to International Paper.
- International Business Machines Corporation in various stock and asset acquisitions.
