Overview

Erika Krum is an associate in Kirkland’s International Trade & National Security Practice Group, where she advises clients on complex cross-border transactions and counseling matters relating to foreign investment and national security. Her practice focuses on navigating national security regimes in the United States and worldwide, including matters before the Committee on Foreign Investment in the United States (CFIUS) and the Defense Counterintelligence and Security Agency (DCSA), as well as parallel foreign direct investment (FDI) authorities across Europe, Asia and other key jurisdictions. Erika regularly advises on transaction structuring, regulatory risk allocation and mitigation strategy, in light of the expanding global FDI landscape and increasingly coordinated national security reviews, across the full investment lifecycle—from fund formation to M&A, including minority investments, joint ventures, syndications and exits.

Erika’s practice also encompasses economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), export controls under the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR), antiboycott regulations, anti-corruption compliance under the Foreign Corrupt Practices Act (FCPA) and related AML/KYC considerations. Erika represents clients before BIS, DDTC and OFAC on license applications, voluntary self-disclosures, and enforcement-related matters and assisting companies in developing and implementing international risk and compliance programs.

Erika has extensive experience advocating before CFIUS and its member agencies, including in the context of non-notified inquiries and the negotiation of national security agreements. Erika has also represented numerous clients before DCSA on matters involving facility security clearances, advising clients on the structuring, negotiation and ongoing compliance relating to foreign ownership, control and influence (FOCI) mitigation plans, including Security Control Agreements (SCAs), Special Security Agreements (SSAs) and Proxy Board arrangements along with their corresponding implementing plans, such as Affiliated Operations Plans, Technology Control Plans and Electronic Communications Plans.

Erika is a trusted advisor to private equity funds, portfolio companies, multinational corporations, venture capital firms and financial institutions navigating the evolving regulatory environment and her combined experience in M&A and fund formation has made her especially valuable in some of the most complex transactions in the market, including with respect to GP stake sales, secondaries, NAV financing, continuation funds, restructurings and take-private transactions.
