Overview
Thomas Laughlin is one of the founding partners of the Dallas office of Kirkland & Ellis LLP. Thomas regularly represents clients in mergers and acquisitions (including controlling investments, preferred equity and other minority investments, and SPAC transactions), divestitures, joint ventures, debt and equity financings, restructurings and other corporate matters.
Thomas has broad experience across many industries, but in particular, he has focused his practice representing clients in the energy, infrastructure, technology, manufacturing, logistics, transportation and healthcare sectors.

- Executive Network Partnering Corp. (NYSE: ENPC), a special purpose acquisition entity, in its $1.3 billion business combination with Grey Rock Investment Partners, a Dallas-based investment firm, resulting in the formation of publicly traded Granite Ridge Resources, Inc.
- Fullscript, a portfolio company of HGGC and Snapdragon Capital Partners, in its acquisition of Emerson Ecologics
- Braemont Capital in its investment into RedTeam Software and in connection with RedTeam’s acquisition of PASKR
- Cureton Front Range, a midstream oil and gas company, in its acquisition of a portfolio of midstream assets from Aka Energy Group
- Blue Owl Capital (NYSE: OWL) in its acquisition of Hong Kong-based Ascentium Group Limited
- Freestone HoldCo in its partnership with Tailwater Capital to pursue energy transition investments

- Wing Resources LLC and Wing Resources II LLC, portfolio companies of Natural Gas Partners, in the sale of Midland Basin oil and gas mineral interests to Alliance Resource Partners L.P.

- Double Eagle Energy Holdings III LLC in the formation of a new pure-play Midland Basin joint venture with FourPoint Energy named DoublePoint Energy, LLC, with over 70,000 acres in Midland, Glassock, Martin, Howard, Upton and Reagan Counties, Texas
- Charger Shale Oil Company, LLC, a portfolio company of funds managed by Oaktree Capital Management, in its formation of Culberson Midstream LLC, a joint venture with Producers Midstream, LP providing midstream solutions for gas, oil and water in the Delaware Basin
- Verdad Oil & Gas Corporation in its formation of Verdad Resources Holdings LLC in partnership with funds managed by Ares Management, L.P.
- Canada Pension Plan Investment Board in its $1 billion equity commitment to form Encino Acquisition Partners, which will focus on U.S. oil and gas acquisition opportunities
- Jonah Energy in its $580 million acquisition of natural gas and oil producing properties in the Jonah and Pinedale fields and surrounding area from LINN Energy
