• Represented developer in structuring equity and raising capital for multi-asset data center portfolio.
• Represented a real estate sponsor in forming new investment platforms for industrial development projects — including creation of GP Capital and LP Capital entities, securing mezzanine financing and structuring multitier capital stacks.
• Represented sponsor in a programmatic joint venture with Blackstone for the development of mixed-use real estate projects in major urban markets.
• Represented client developing residential and sports-entertainment districts adjacent to professional and collegiate stadiums — advising on complex reorganization involving multi-tier joint ventures and funds, contribution and exchange structures, and GP/LP capital formation to support multistate expansion.
• Represented anchor investor in the acquisition of prime office real estate in the Silicon Slopes tech corridor.
• Represented national student-housing developer in programmatic joint ventures and capital-raising JV structures for new student-housing developments.
• Represented the sponsor in a multi-party, multitier joint venture to acquire and develop hotel projects.
• Represented client that acquired real estate alongside private equity platform acquisitions and structured sale-leaseback transactions with the acquiring PE sponsor — including transactions involving funeral homes, gas stations and veterinary office portfolios.
• Represented a client in the acquisition of a large, multistate portfolio of storage facilities involving simultaneous real property and entity acquisitions, drop-and-swap structures and other complex transactional steps required to complete the portfolio purchase.
