Overview
Griffin Peeples is a tax associate in the Houston office of Kirkland & Ellis LLP. His practice includes a focus on the tax aspects of complex transactions, including mergers, acquisitions, restructurings, and debt and equity offerings. He also handles all aspects of tax controversy matters before the Internal Revenue Service (IRS), including examination, mediation and appeals proceedings, and before the United States Tax Court.

- Northampton Capital Partners in its investment in Blueprint Data Centers, a developer of data centers designed with flexibility to support high-performance computing workloads.
- DNOW Inc. (NYSE: DNOW) in its $1.5 billion all-stock acquisition of MRC Global Inc. (NYSE: MRC).
- Bluebird Fiber in its agreement to acquire Everstream, a business-only fiber network.
- WIN Waste Innovations in its sale of South Broward Waste-to-Energy Facility in Florida.
- Macquarie Asset Management in the sale of Macquarie Rotorcraft, a helicopter leasing company, to SMFL LCI Helicopters.
- Northampton Capital Partners in the arrangement agreement with Altius Renewable Royalties Corp. (TSX: ARR; OTCQX: ARTWF) to acquire the public float of ARR.
- ONEOK, Inc. (NYSE: OKE) in its $2.6 billion acquisition of Global Infrastructure Partners’ equity interests in Medallion Midstream, LLC.
- Bernhard Capital Partners in its $1.252 billion acquisition of New Mexico Gas Company, Inc., the largest natural gas utility in New Mexico, from Emera Inc.
- LM Energy, a portfolio company of Old Ironsides Energy, in the sale of its natural gas gathering and transportation business in the Delaware Basin to Trace Midstream.
- Blackstone Infrastructure Partners in its approximately $1 billion investment in a portfolio of wind and solar projects with NextEra Energy Resources.
- Ryan, LLC in its CAD $700 million acquisition of the Property Tax business of Altus Group Limited.
- Lagoon Operating – Midland LLC in its sale to Deep Blue Midland Basin LLC, a joint venture between Diamondback Energy (Nasdaq: FANG) and Five Point Energy.
- CyrusOne on securing a $687.1 million Single Asset Single Borrower Commercial Mortgage-Backed Security (CMBS) loan for CyrusOne’s DFW1 data center, the company’s inaugural CMBS issuance.
- CoreWeave, a specialized cloud provider of large-scale GPU-accelerated workloads, in its $7.5 billion debt financing facility.
- Global Infrastructure Partners (GIP) in its sale of an equity stake in Phase 1 of NextDecade Corporation’s (Nasdaq: NEXT) Rio Grande LNG to ADNOC.
- Consortium of Global Infrastructure Partners (GIP) and Canada Pension Plan Investment Board (CPPIB) in the $6.2 billion acquisition of ALLETE, Inc. (NYSE: ALE).
- Allied Industrial Partners in its strategic investment in Celebrity Coaches, a provider of transportation and logistics for the live events and entertainment sector.
- Macquarie Asset Management in its sale of Lordstown Energy Center to ArcLight Capital Partners.
- Sandbrook Capital in its investment of up to $460 million in rPlus Energies, a private renewable energy developer.
- Ridgewood Infrastructure in its acquisition of Waste Resources Management.

- Special tax counsel to Intersect Power, LLC on its Oberon Solar + Storage Project located in Riverside County, California.
- BlackRock Inc. (NYSE: BLK) in its $550 million equity investment in 1PointFive Stratos Holdings, LLC, a newly formed joint venture with Occidental Petroleum Corp. (NYSE: OXY) to develop STRATOS, the world's largest Direct Air Capture facility, in Ector County, Texas.
- Blackstone in its joint acquisition with Vista Equity Partners of Energy Exemplar, a global provider of energy market simulation software.
- Global Infrastructure Partners in its investment in Rio Grande LNG’s $18.4 billion Phase I development and project financing.
- Colgate Energy Partners III, LLC in its merger of equals with Centennial Resource Development, Inc. (Nasdaq: CDEV) to form Permian Resources Corporation (NYSE: PR), a $7 billion company.
- Quantum Capital Group, 547 Energy, and ConnectGen in its $768 million sale of ConnectGen to Repsol.
- Blue Source Sustainable Forests Co., a joint venture between TPG Rise-backed Anew Climate and various equity investors, in its $1.8 billion acquisition of various entities managed by The Forestland Group and its $1+ billion capital raise.
- CoreWeave, a specialized cloud provider of large-scale GPU-accelerated workloads, in its $2.3 billion debt financing facility.
- Bernhard Capital Partners in its $484 million acquisition of Entergy’s gas distribution business.
- CyrusOne in its formation of a joint venture with KEPCO, a leading Japanese energy provider, for the purpose of building, operating and scaling data centers in Japan.
- Consortium and KKR in the $15 billion all-cash acquisition of CyrusOne Inc. (Nasdaq: CONE).
- Lone Star Funds in its acquisition of Titan Acquisition Holdings, a bi-coastal leader in ship repair services and marine and heavy complex fabrication.
- Höegh LNG Holdings Ltd. on agreement to acquire all publicly held common units of Höegh LNG Partners LP.
- CyrusOne in a $701 million asset-backed securitization of a portfolio of data centers located in Virginia and Texas.
- Brookfield Infrastructure Partners L.P., together with Ontario Teachers’ Pension Plan, in its acquisition of Compass Datacenters, a designer and provider of data centers for hyperscalers and cloud providers on campuses across the globe.
- Orion Infrastructure Capital in its investment in Heliene, Inc. via a senior secured debt facility and purchase of preferred equity.
- Energy Spectrum, together with its portfolio company ESGEN, in the $475 million business combination of ESGEN Acquisition Corp. (Nasdaq: ESAC) with Sunergy Renewables, a leading provider or residential solar and energy efficiency solutions.
- Whiting Petroleum Corp. (NYSE: WLL) in its $6 billion merger of equals with Oasis Petroleum Inc. (Nasdaq: OAS).
- Special Committee of ProFrac Holding Corp.’s Board of Directors in the all-stock acquisition of U.S. Well Services, Inc.
Prior to joining Kirkland, Griffin was involved in the following matters:
- Represented large publicly traded oil and gas corporation in Senior Notes Offering and Concurrent Cash Tender Offers.
- Represented the underwriters in a debenture offering of a large publicly traded company.
