Stephanie Taylor is a litigation partner in the New York office of Kirkland & Ellis LLP. Stephanie has worked on a broad range of matters in federal and state courts and arbitrations, with a particular focus on high-stakes complex commercial disputes, securities litigation and M&A-related litigation.
Experience
Representative Matters
Representing automotive company in breach of fiduciary duty and unfair competition litigation against competitor arising out of bribery scheme designed to corrupt labor negotiations.
Defended Vista Equity Partners, Integral Ad Science, and its CEO in a putative securities class action. Secured dismissal of all claims with prejudice.
Defended EQT Corporation and certain current and former officers and directors in a securities class action arising out of EQT’s $6.7 billion acquisition of Rice Energy.
Defended a Vista Equity Partners portfolio company in an arbitration arising from its acquisition by Vista. Following limited discovery, the panel unanimously adopted Kirkland’s arguments and dismissed the claims in full.
Defended Pegasus Capital and its portfolio company in arbitration related to a joint venture. After a five-day trial, the panel unanimously sided with Kirkland, finding that respondent had violated the governing contracts, and awarding the client a permanent injunction against wrongful competition and monetary damages for prior breaches.
Defended a hedge fund in an arbitration arising from a dispute with fund founder. After a five-day trial, the panel unanimously rejected the founders’ core claims, finding no breach of contract or breach of fiduciary duty.
Represented EQT Corporation in a shareholder suit in state court in Pittsburgh arising out of its $35 billion merger with Equitrans Midstream. Defeated the plaintiff’s request for a preliminary injunction and the transaction closed.
Represented Caterpillar in prosecuting applications under Section §1782 seeking to obtain discovery for use in a foreign proceeding.
Represented Bristol-Myers Squibb in a shareholder suit in state court in San Diego relating to its acquisition of Mirati Therapeutics. Case settled on favorable terms and the transaction closed.
Represented Canoo Inc. in securities litigation seeking to recover over $60 million in “short-swing profits” under Section 16(b) of the U.S. Securities Exchange Act.
Represented Bristol-Myers Squibb and its subsidiary Celgene Corporation, in litigation regarding competing breach of contract claims arising from a development agreement for a potential drug.
Secured a preliminary injunction, enjoining the plaintiffs from selling or transferring the intellectual property assets associated with the drug.
Represented publicly-traded automotive company in DOJ and SEC investigations involving allegations of securities fraud.
Defended Wynn Resorts, Ltd. and its directors and officers in a putative securities class action and related derivative suits arising from allegations of sexual misconduct by the former CEO, chairman and founder.
Defended United Airlines in a billion-dollar antitrust lawsuit brought by DHL alleging that United conspired with other airlines to fix surcharge prices in the global air cargo industry.
Represented Welspun, the world’s largest textile maker, in the successful resolution of multiple class actions alleging misrepresentations to millions of consumers regarding “Egyptian” and “Pima” cotton products sold by major U.S. retailers.
Represented Facebook and its officers and directors in defense of securities class actions and shareholder derivative lawsuits following initial public offering.

Represented a minor in federal court litigation against the City of New York and foster care agency for alleged violations of their duty of care and minor’s constitutional rights.
Represented Ukrainian LGBT applicant in affirmative asylum application, successfully obtaining a grant of asylum following an adversarial immigration court hearing.
Represented the parent of a second-grade child with autism to obtain an independent evaluation of the child’s needs and an appropriately supportive educational placement.
Represented immigrant rights organization to obtain the release of documents under the federal Freedom of Information Act and New York’s Freedom of Information Law.
Represented public school families in litigation challenging the constitutionality of New York’s teacher tenure statutes.
Represented immigrant advocacy organizations as amici curiae in litigation challenging retaliation by immigration enforcement authorities against immigrant rights advocates.
