Kirkland & Ellis Represents Bain Capital in Acquisition of Physio-Control from Medtronic

Kirkland & Ellis LLP represented Bain Capital in its definitive agreement to acquire Physio-Control from Medtronic, Inc.  Physio-Control is the world's leading provider of emergency medical response technology for use in the intervention and treatment of cardio-respiratory and other medical emergencies. The deal, which announced today, is valued at approximately $487 million.

The transaction is expected to close in the first quarter of 2012, and is subject to certain regulatory and customary closing conditions. Structured as a carve-out from Medtronic Inc., the transaction involved asset transfers in more than 30 separate countries and numerous interdisciplinary complexities.

The international Kirkland team was led by Chicago private equity partners Jon Ballis and Ted Frankel, and included private equity partners Matthew Steinmetz and Jeff Richards (Chicago) and finance partners Jay Ptashek (New York) and Dennis Myers (Chicago).
