Kirkland & Ellis Represents Vista Equity Partners in Transaction with Raytheon Company

Kirkland & Ellis LLP represents Vista Equity Partners which announced today it had entered into a definitive agreement with Raytheon to form a new company combining Websense, a Vista portfolio company, with Raytheon Cyber Products, a division of Raytheon’s Intelligence, Information and Services (IIS) segment.  The formation of the joint venture calls for Raytheon to contribute $1.9 billion to acquire Websense and subsequently Vista will invest approximately $335 million for 19.7 percent equity stake in the new company.
