Kirkland Represents Helios Holdings Limited on Combination with Fairfax Africa Holdings Corporation

Kirkland & Ellis advised Helios Holdings Limited, the leading Africa-focused private investment firm, on its agreement with Fairfax Africa Holdings Corporation (TSX: FAH.U), an investment holding company traded on the Toronto Stock Exchange whose objective is to make investments in African businesses, for the combination of their complementary businesses on one unified platform. On closing of the transaction, Fairfax Africa will be renamed Helios Fairfax Partners Corporation and continue to be listed on the Toronto Stock Exchange, creating the leading pan-Africa focused listed alternative asset manager. The transformative transaction represents a unique combination of a publicly traded investment holding company with a privately held private equity sponsor. Completion of the transaction is expected to occur in the third quarter of this year and is subject to customary conditions.
