Kirkland Advises Kellanova on Gaining Approval from European Commission and Close of $36 Billion Sale to Mars
Kirkland & Ellis served as antitrust counsel to Kellanova in securing unconditional approval from the European Commission review of its $36 billion sale to Mars. The transaction had been in Phase 2 since the summer. This follows Kirkland’s successful representation of Kellanova through the Second Request process at the United States Federal Trade Commission, where it was also cleared without condition. Mars announced the close of the transaction on December 11, 2025. The deal was originally announced on August 14, 2024. Kirkland also advised Kellanova on the transaction generally.
