Kirkland Represents Thoma Bravo-Backed HCSS on Combination with Nemetschek’s Build & Construct

Kirkland & Ellis advised Thoma Bravo portfolio company HCSS, one of the world’s largest heavy civil construction software companies, on a definitive business combination agreement with the Build & Construct segment of the Nemetschek Group, a leading global provider of software solutions for digital transformation in the architecture, engineering, construction and operations and media industries. The combination will create a construction technology powerhouse with complementary technologies, customer bases and regional strengths. The transaction is expected to close in the second half of 2026, subject to customary regulatory approvals and closing conditions.
