Forum-Selection for Federal Securities Claims After Sciabacucchi

Matthew Solum and Joseph Sanderson have authored an article that proposes ways to revive forum-selection provisions in the wake of the Sciabacucchi decision.

"On December 19, 2018, Vice Chancellor Laster of the Delaware Court of Chancery held that Delaware law does not permit corporations to include provisions in their certificates of incorporation requiring that claims under the Securities Act of 1933 be brought only in federal court."
