Chicago corporate and tax partner Jack S. Levin has co-authored (along with Donald E. Rocap and the late Prof. Martin D. Ginsburg) a widely used treatise in the corporate and tax areas. "Mergers, Acquisitions, and Buyouts" (first published 1989, updated and republished semi-annually) focuses on a series of acquisitive transactions, including stock purchase, asset purchase, forward merger, reverse merger, leveraged buyout, and leveraged recapitalization, whether taxable or tax-free, and discusses principally the tax (but also the securities regulation, accounting, corporate law, and other) issues typically encountered. With respect to each transaction, the 5,000 page 5-volume treatise explores a myriad of potential solutions and practical structuring alternatives. Volume 5 also contains sample acquisition agreements for taxable and tax-free acquisitions, generally providing pro-buyer, pro-seller, and neutral versions of each.
