• MACOM on its acquisition of the key manufacturing facilities, capabilities and technologies of OMMIC SAS
• Technicolor on the tax aspects of its global refinancing and the contemplated listing and spin-off of Technicolor Creative Studios
• Iliad Holding on €1.4 billion senior secured notes offerings
• CD&R on its potential partnership with Sanofi to acquire Opella
• PAI Partners on its minority investment by Blue Owl’s Dyal Capital
• Banijay Group and Banijay Entertainment on the financing to merge Banijay Entertainment and All3Media
• Coller Capital on the investment in a continuation fund transaction involving Olyo
• Advent International on the negotiations to acquire Kereis
• Wendel on exclusive negotiations relating to the acquisition of Scalian Group

• Advising several private equity houses in connection with the tax structuring of their funds, including carried interest and co-investment structures.

LBO / M&A Transactions

• Bridgepoint on its initial public offering on the London Stock Exchange
• Advising the Carlyle Group in relation to the acquisition of a majority stake in the following investments: Inova, ENVEA (public to private transaction, the ETC Group, LP and HGH Systèmes Infrarouge
• Blackfin Capital Partners on the acquisition of Foncia Pierre Gestion
• Groupe Premium on its acquisition of a majority stake in Flornoy & Associés Gestion and in FerriGestion and advising Groupe Premium upon acquisition of the majority of its share capital by Eurazeo PME
• A consortium composed of Andera Partners and Omnes on the acquisition of a majority stake in Spherea
• Eurazeo PME on the sale of its majority stake in Vignal
