Sean Z. Kramer is a corporate partner at Kirkland & Ellis LLP, where his practice concentrates on structuring, negotiating and managing the corporate, securities and tax aspects of complex business transactions. He has developed a particular focus on representing private equity sponsors and their portfolio companies in the wide array of transactions that they encounter: leveraged buyouts and consortium deals; mergers, acquisitions and divestitures; joint ventures; venture capital, growth equity and other minority investments; initial public offerings; debt and equity financings; restructurings; executive compensation arrangements; investment fund formations; and corporate governance matters.
In addition to his tenure at Kirkland, Sean held a senior business and finance position at a market-leading investment fund focused on legal and regulatory risk, and he remains connected to the litigation finance industry to further assist clients in assessing legal assets and liabilities. His broad experiences in business, law and education provide a unique commercial perspective to transactions. Sean's clients and partners value that his legal judgment is complemented by a deep understanding of the financial and operational implications of transactions for companies, management teams and investors.
Sean co-founded and currently co-chairs the Kirkland & Ellis Corporate Lab at the University of Chicago Law School, a clinical program in which students learn transactional law by working with the legal and business teams of high-profile public and private companies, non-profit organizations and investment funds. Sean graduated with Honors from the University of Chicago Law School.
