Melanie MacKay

Prior to joining Kirkland, Melanie was involved in the following matters:

• Represented one of the largest sovereign wealth funds in a complex commercial and corporate governance dispute. Second-chaired at trial and handled all written submissions on appeal, achieving unanimous victory in the Delaware Supreme Court.
• Represented a portfolio company in binding arbitration concerning the valuation of an executive's stock holdings post-acquisition. Handled direct and cross examinations of key witnesses, was responsible for preparing all written submissions, and obtained complete victory for the client.
• Represented a biopharmaceutical company and its directors and officers in an action alleging breach of fiduciary duties, unjust enrichment, corporate waste and other claims. Successfully argued a motion to dismiss and achieved dismissal with prejudice of all claims.
• Represented the special litigation committee of a large public utility company that was formed in response to allegations that high-level officers bribed public officials in exchange for the passage of favorable legislation. Conducted an investigation of the alleged wrongdoing and successfully negotiated a settlement resolving the matter.
• Represented the CEO of a top-tier investment fund in action alleging violations of the securities laws. Successfully represented the client at his deposition and negotiated a favorable resolution. 
• Represented a real estate investment firm in a bankruptcy action alleging the fraudulent transfer of the debtor's only significant asset; successfully defended the matter in the U.S. Bankruptcy Court, U.S. District Court, Eleventh Circuit, and U.S. Supreme Court.
