Private Equity

• Kohlberg Kravis Roberts & Co. (KKR) in its recapitalization of DentalXChange, a provider of revenue cycle management solutions for the dental market.

Private Credit and Other Credit Opportunities

• Private credit financing sources on providing a New York law governed Euro denominated term loan facility in support of U.S. private equity sponsor Albion River’s acquisition of Wescom.

Prior to joining Kirkland, Ed was involved in the following transactions:

• Represented the financing sources in connection with Almaviva S.p.A’s acquisition of Iteris Inc.
• Represented the administrative agent and lead arrangers in connection with a new $1.1 billion term loan financing for PlayCore.
• Represented the financing sources in connection with the acquisition of Broadcom Inc.’s End-User Computing Division by KKR in a transaction valued at approximately $4 billion.
• Represented the financing sources in the acquisition of global specialty chemicals maker, Chase Corporation, by an affiliate of KKR.
• Represented certain financial institutions acting as lead arrangers and led by Goldman Sachs Bank USA and JPMorgan Chase Bank on a refinancing of Janus International’s term facility and placement of a new asset-based loan facility.
• Represented the joint lead arrangers and joint bookrunners in connection with a $200 million revolving credit facility for APA Generation, LLC, a subsidiary of Altus Power, Inc.
• Represented the arrangers in connection with the financing for Carlyle’s acquisition of HCP Packaging from funds affiliated with Baring Private Equity Asia.
• Represented Credit Suisse AG, Cayman Islands Branch as administrative agent and Golub Capital Markets as first lien lender as well as the second lien lenders and preferred equity purchasers in connection with Orion Advisor Solution Inc.’s acquisition of all outstanding capital stock of Redtail Technology Inc.

• Representation of the Alliance for Diplomacy and Justice in connection with negotiation of various commercial agreements.

Prior to joining Kirkland, Ed was involved in the following pro bono matter:

• Contributed to key Policy Planning Working Groups for Ukraine, including co-sponsoring the Ceasefire Working Group and participating in the Security Sector Reform Working Group, contributing to its white paper and case study interviews.
