• Represented cybersecurity company in the dismissal of a high-profile securities fraud class action for which the plaintiffs sought several billion dollars in damages in connection with an outage that caused millions of computer systems to crash globally.
• Represented a private equity fund and portfolio company executives in a corporate governance dispute in Delaware Court of Chancery. The matter was resolved through settlement.
• Represented EQT Corporation and certain of its officers and directors, defending a consolidated putative securities class action filed in Pennsylvania federal court arising out of EQT’s $6.7 billion acquisition of Rice Energy.
• Advised numerous public and private companies serving or responding to books and records demands under 8 Del. C. § 220, merger provisions and operating agreements.
• Advised clients on M&A and corporate-governance litigation risks in connection with significant transactions, including:
  
  • R1 RCM in its $8.9 billion take-private sale to TowerBrook.
  • Six Flags in its $8 billion merger with Cedar Fair.
  • Diamond Offshore Drilling in its $1.6 billion sale to Noble Corporation plc.
    

Bankruptcy and Restructuring Litigation

• Served as trial counsel for WeWork and its 517 affiliates in their Chapter 11 restructuring and in related litigation proceedings. Following extensive discovery and contested hearings, WeWork reached a global settlement and successfully emerged from Chapter 11.

Other Complex Commercial Litigation

• Served as trial counsel for an entrepreneur defending an Electronic Communications Privacy Act action in New York federal court.
• Represented major healthcare IT company in a False Claims Act case relating to federal certification of its electronic healthcare records software.
