Overview
Alex Rodney litigates complex and high-value matters in the United States and worldwide, focusing on securities and shareholder, M&A and other cutting-edge commercial disputes. His clients have included Acadia Healthcare, Airbnb, Alcon, Ares, Blue Owl, Colgate, EQT Corporation, Mylan, Target Corporation and Vista Equity Partners.
Alex’s practice spans the full spectrum of stockholder and securities litigation, including class actions, shareholder derivative suits and M&A-related litigation, with a particular focus on emerging litigation involving AI, software and credit (including BDCs).
Alex also has significant experience navigating cross-border litigation, parallel proceedings and regulatory inquiries. He counsels clients on corporate governance issues, shareholder activism and crisis management, often in highly regulated and innovative industries and in connection with major strategic transactions.
Alex’s work has been highlighted by various legal publications, including Law360 and The American Lawyer’s “Litigator of the Week” series. He has also been featured as a leading panelist on securities litigation, most recently by Lex Machina and the Aerospace General Counsel Group. Securities, Shareholder and M&A Litigation
- A publicly traded asset manager and certain of its officers and directors in a putative securities class action and shareholder derivative action concerning BDCs in the Southern District of New York. Ongoing.
- A leading BDC investment advisor in a stockholder action under the Investment Company Act in the Southern District of New York. Ongoing.
- A leading BDC investment advisor in a stockholder action under the Investment Company Act in the Southern District of New York. Ongoing.
- Target Corporation and certain of its officers and directors, defending a putative securities class action filed in Minnesota federal court arising out of Target’s inventory management during the COVID-19 pandemic. Obtained complete dismissal with prejudice. Also obtained dismissal of parallel shareholder derivative actions.
- Target Corporation and certain of its officers and directors, defending multiple securities and shareholder derivative actions filed in Florida federal court arising out of Target’s Pride collection. Obtained transfer of all Florida actions to the District of Minnesota. Ongoing.
- Vista Equity Partners, Integral Ad Science, and its CEO in a putative securities class action and shareholder derivative actions in the Southern District of New York. Secured dismissal of all claims with prejudice.
- Private equity fund in connection with preliminary injunction to enjoin merger. Defeated preliminary injunction.
- EQT Corporation in a lawsuit and preliminary injunction seeking to enjoin EQT’s $35 billion merger with Equitrans. Defeated preliminary injunction.
- EQT Corporation and certain of its officers and directors, defending a consolidated putative securities class action, related, individual securities fraud lawsuits and shareholder derivative actions, filed in Pennsylvania federal court arising out of EQT’s $6.7 billion acquisition of Rice Energy. Class action successfully resolved.
- Mylan in a lawsuit and preliminary injunction filed by Perrigo challenging certain disclosure statements that Mylan made in connection with its $27 billion proposal to acquire Perrigo. Defeated preliminary injunction.
- Acadia Healthcare Company in a putative securities class action in Tennessee federal court. Ongoing.
- Kyndryl and its CEO in a putative securities class action filed in the Eastern District of New York. Ongoing.
- Alternative investment company and certain of its officers and directors in a putative securities class action and shareholder derivative action in the Southern District of New York. Ongoing.
- Civitas Resources, its CEO and CFO in a putative securities class action in New Jersey federal court. Obtained dismissal.
- Wilson Sonsini Goodrich & Rosati in shareholder action filed in Delaware Chancery Court. Successfully resolved.
Other Complex Commercial Litigation
- Hedge fund in an AAA arbitration arising from a dispute with fund founder. Won at arbitration.
- Fortune 100 insurance company in ARIAS arbitration arising out of a reinsurance transaction. Won at arbitration.
- Alcon Laboratories in connection with more than 50 antitrust class actions consolidated in the Middle District of Florida. Successfully resolved.
- Fortune 100 consumer products company in multi-billion-dollar exclusive licensing dispute. Successfully resolved.
- Airbnb in connection with a preliminary injunction in the Southern District of New York to block implementation of NYC ordinance. Obtained preliminary injunction.
- Airbnb in defending against claims of unfair competition in New York Commercial Division and First Department. Obtained complete dismissal with prejudice in the Commercial Division and affirmance in First Department.
- Tech unicorn founder in connection with corporate governance and partnership dispute. Successfully resolved.
- Tech unicorn in connection with AAA arbitrations alleging violations of various state statutes. Successfully resolved.
- Colgate-Palmolive in several product-liability lawsuits filed in California state court. Won at trial and successfully resolved other actions.
- Novartis Pharmaceuticals in S.D.N.Y. action alleging violations of the FCA and Anti-Kickback Statute.
- IBM in federal litigation and 10th Circuit appeal alleging unfair competition and tortious interference.
