Jennifer Stadler is a partner in the Philadelphia office of Kirkland & Ellis LLP. She advises public and private companies, private equity clients, and C-suite executives on executive compensation and employee benefits matters, particularly in the context of mergers, acquisitions and securities transactions.
Jennifer has extensive experience assisting with the executive compensation and employee benefits aspects of transactions that range from middle-market to complex cross-border transactions, across a wide range of industries.
Jennifer supports her clients with the design, drafting, negotiation and implementation of employment, severance and change-in-control bonus agreements, equity and equity-based incentive compensation plans, phantom incentive compensation plans and other executive compensation arrangements. She also assists public company clients with executive compensation disclosures for transaction-related filings.
Jennifer’s experience includes advising clients on executive compensation-related provisions of the Internal Revenue Code (Section 83, Section 280G and Section 409A) and federal securities laws and regulations.
