Overview
Jennifer Wu is a capital markets partner in the Austin office of Kirkland & Ellis LLP. She counsels companies across the technology and energy industries in capital raises and public offerings, including initial public offerings (IPOs), follow-on offerings and high yield debt offerings. In addition, she advises her clients on federal securities law compliance, ongoing corporate governance, and Exchange Act reporting and disclosure matters. She is listed as “Up and Coming” for Capital Markets: Debt & Equity in Texas and Central US – Nationwide by Chambers USA, recognized for Capital Markets: Equity Offerings by The Legal 500 United States and as a “Rising Star” by Texas Super Lawyers (2019–2022). - its $256 million initial public offering
- its $750 million offering of 7.25% senior unsecured notes and $175 million secondary offering of common stock
- the upsized underwritten offering of 6.5 million shares of common stock by EQT Partners for total gross proceeds of $226.5 million
- the underwritten offering of 7 million shares of common stock by EQT Partners for total gross proceeds of $175 million
- the underwritten offering of 5.5 million shares of common stock by EQT Partners for total gross proceeds of $232 million
- Lime Rock Resources IV, LP in its $100 million sale of Central Basin Platform assets to Ring Energy, Inc. (NYSE American: REI)
- Verde Clean Fuels (NASDAQ: VGAS) in the $50 million equity investment by Cottonmouth Ventures, a subsidiary of Diamondback Energy (NASDAQ: FANG)
- Arcosa, Inc. (NYSE: ACA) in its $1.2 billion acquisition of Stavola, an aggregates-led and vertically integrated construction materials company
- Morgan Stanley Infrastructure Partners on its co-control equity investment in Flexential, a leading data center solutions provider
- HGGC in its $115 million convertible preferred equity investment in Upland Software, Inc. (NASDAQ: UPLD), a software leader in cloud-based tools for digital transformation
- TPG Rise Climate and its affiliates, in connection with:
- a $750 million growth equity investment in Intersect Power, LLC, a provider of scalable low-carbon solutions for retail and wholesale energy markets
- a $300 million investment in Summit Carbon Solutions, a developer of a large-scale carbon capture and storage project, which will capture and permanently store up to 20 million tons per year of CO2 from facilities across the Midwestern United States
- a $250 million Series C preferred financing by Ohmium International, which designs, manufactures and deploys advanced proton exchange membrane electrolyzers to produce green hydrogen
- an investment in Monolith Materials, which produces clean hydrogen and carbon black, in connection with Monolith’s equity raise of $300 million
- TPG in Nextracker LLC’s $638.4 million initial public offering
- Lagoon Operating – Midland LLC in its sale to Deep Blue Midland Basin LLC, a joint venture between Diamondback Energy (NASDAQ: FANG) and Five Point Energy
- Actis in its acquisition of a co-control stake in Catalyze, a distributed solar and battery storage infrastructure developer
- ArcLight Clean Transition Corp. II in its $1.75 billion combination with Opal Fuels LLC, a vertically integrated producer and distributor of renewable natural gas, resulting in Opal Fuels Inc. (NASDAQ: OPAL, OPALW)
- Gates Frontier in connection with its additional investment in TerraPower, a leading nuclear innovation company, in its $750 million fundraising round co-led by Gates Frontier and SK Inc. and SK Innovation
- Jefferies in its role as capital markets adviser and private placement agent in ROC Energy Acquisition Corp.’s $319 million acquisition of Drilling Tools International Holdings, Inc.
- Navitas Midstream Partners Holdings, LLC, a producer-focused midstream company, in its $3.25 billion sale to an affiliate of Enterprise Products Partners L.P.

- Nearly $4.0 billion offering by NRG Energy, Inc. of senior secured notes, unsecured notes, and pre-capitalized trust securities, including the first issuance of a sustainability-linked bond by a North American company, and subsequent $1.1 billion offering of senior unsecured sustainability-linked notes
- $765.0 million initial public offering by BP Midstream Partners LP
- $714.1 million initial public offering of EQT GP Holdings, LP
- $123.0 million initial public offering of ZS Pharma, Inc.
- Over $4.8 billion in multiple equity and debt offerings by EQM Midstream Partners, LP
- Over $1.6 billion in multiple equity offerings and private placements of notes by Tallgrass Energy Partners, LP
- $400 million inaugural bond offering of senior unsecured notes by Arcosa, Inc.
- $64.4 million public equity offering of common stock by DZS Inc.
- Representation of initial purchasers in multiple notes offerings totaling $1.3 billion by Crestwood Midstream Partners LP
- Representation of MGM Growth Properties LLC in its $17.2 billion sale to VICI Properties Inc.
- Representation of the Conflicts Committee of Williams Partners L.P. in $10.5 billion merger of Williams Partners L.P. into a subsidiary of The Williams Companies, Inc., $11.4 billion financial repositioning transaction with The Williams Companies, Inc. and $50.0 billion merger of Williams Partners L.P. with Access Midstream Partners, L.P.
