Kirkland Advises DNOW on All-Stock Combination with MRC Global

Kirkland & Ellis advised DNOW Inc. (NYSE: DNOW), a supplier of energy and industrial products and packaged, engineered process and production equipment, on its definitive merger agreement with MRC Global Inc. (NYSE: MRC) pursuant to which DNOW will acquire MRC Global in an all-stock transaction valued at approximately $1.5 billion, inclusive of MRC Global’s net debt, creating a premier energy and industrial solutions provider.
