Kirkland has a Corporate Governance and Counseling practice in which we advise public and private companies and other entities, and their directors and officers, regarding the entire spectrum of corporate governance issues. Our Corporate Governance and Counseling practice integrates attorneys from our corporate, litigation, tax and executive compensation departments with experience in corporate governance, federal and state disclosure laws, mergers and acquisitions and governmental investigations and proceedings. The Firm regularly advises boards and board committees, as well as executive officers and other members of management, on complex corporate transactions and fiduciary duty and disclosure issues. In addition, we routinely advise companies on day-to-day internal governance issues, shareholder relations and compliance with the full range of laws, rules and regulations governing corporate governance and fiduciary duty matters, including the Securities Act of 1933, the Securities Exchange Act of 1934, the Sarbanes-Oxley Act, Delaware and other state laws, and the NYSE and Nasdaq rules and regulations.
