Kirkland Advises Clayton, Dubilier & Rice on $7 Billion Take-Private Acquisition of Focus Financial Partners

Kirkland & Ellis is advising Clayton, Dubilier & Rice, LLC (CD&R) on its definitive agreement, announced today, to acquire Focus Financial Partners Inc. (NASDAQ: FOCS), a leading partnership of independent, fiduciary wealth management firms, in an all-cash transaction valued at an enterprise value of over $7 billion. Funds managed by Stone Point Capital LLC have agreed to retain a portion of their investment in Focus and provide new equity financing as part of the proposed transaction. Closing of the proposed transaction is subject to stockholder approval, regulatory approvals and other customary conditions. The transaction is expected to close in the third quarter of 2023.
