Lindsey Weiss Harris is a litigation partner in the New York office of Kirkland & Ellis LLP. She frequently represents Fortune 500 corporations, boards of directors and private equity funds in a broad range of high-stakes complex commercial matters, including shareholder disputes, deal litigation and securities class actions. She also regularly advises on corporate governance, shareholder activism and crisis management, often in connection with major strategic transactions. Lindsey’s clients have included Altaris, Bristol Myers Squibb, CD&R, Centerview, Compass, DNOW, EQT Corp., Fortress Credit Corp., JELD-WEN, Kellanova, Marathon Oil, ONEOK, R1 RCM, South32, TPG, Victoria’s Secret, Walgreens, WK Kellogg and Wyndham.

Representative Matters
Some of Lindsey’s recent representations include:
- Fortress Credit Corp., defeated Cohen Realty Enterprises’ motion for a preliminary injunction to stop Uniform Commercial Code (UCC) foreclosure on collateral in support of a $550 million loan, which is being reported as the largest UCC foreclosure sale in history. Obtained motion for summary judgment in lieu of complaint in a related matter against Charles S. Cohen for defaulting on his $187 million personal guarantee.
- JELD-WEN and certain executives, defended in purported securities class action litigation filed in Virginia federal court arising from price-fixing allegations and related lawsuits. Settlement achieved in 2021.
- EQT Corporation and certain of its officers and directors, defending a consolidated putative securities class action, related, individual securities fraud lawsuits, and shareholder derivative actions, filed in Pennsylvania federal court arising out of EQT’s $6.7 billion acquisition of Rice Energy. Settlement achieved in 2025.
- CEO of Benefitfocus, defended in a lawsuit filed in New Jersey federal court by ADP, alleging breaches of restrictive covenant agreements. Defeated ADP’s request for a temporary restraining order and preliminary injunction in May 2021 and the Third Circuit affirmed on appeal. Settlement achieved 2022.
- Wheels Up Partners LLC, defended against alleged trademark infringement and related claims. Settlement achieved in 2023.
- Fortune 500 pharmaceutical company and its subsidiary, representing in an ICC arbitration alleging breach of a collaboration agreement with respect to the sale of a pharmaceutical. Settlement achieved in 2023.
- Real estate company, successfully settled an AAA arbitration seeking dissolution of a joint venture and damages for alleged breaches of contract and fiduciary duties.
Some of Lindsey’s M&A-related representations have included: Callon Petroleum ($4.5 billion acquisition by APA); Compass ($1.6 billion acquisition of Anywhere Real Estate); Diamondback Energy ($1.6 billion acquisition by Noble Corp.); DNOW ($1.5 billion acquisition of MRC Global); Haynes International (~$1 billion acquisition by Northern American Stainless); Kellanova ($35.9 billion acquisition by Mars); Marathon Oil ($22.5 billion acquisition by ConocoPhillips); ONEOK ($3.3 billion acquisition of EnLink Midstream); TPG ($2.2 billion acquisition of Altus Power); Walgreens ($23.7 billion acquisition by Sycamore Partners); and WK Kellogg ($3.1 billion acquisition by Ferrero Group).
Prior to joining Kirkland, some of Lindsey’s representations included:
- Major League Baseball
- Won dismissal of tortious interference and defamation claims in New York state court. Obtained sanctions against plaintiffs and their counsel for frivolous and harassing conduct, including filing a frivolous motion for reargument.
- Obtained dismissal with prejudice of Computer Fraud and Abuse Act claim in New York federal court.
- Obtained dismissal with prejudice of Lanham Act, false advertising and unfair competition claims in California federal court. Won sanctions against plaintiffs for “entrenched campaign of harassment.”
- Eventbrite
- Won dismissal of data breach class action in Illinois state court.
- Represented in New York and California trade secret litigation by a former acquisition target.
- Won a federal jury verdict in favor of Goldman Sachs in a lawsuit by former shareholders of Dragon Systems alleging fraud, negligence and breach of fiduciary duty.
- Obtained an injunction barring the hostile takeover of Vulcan Systems by Martin Marietta in Delaware Chancery Court.
- Successful defense of Airgas’ poison pill against a hostile bidder in Delaware Chancery Court.
- Represented board of directors of Fortune 50 company in response to shareholder demands involving a failed acquisition and government investigations.
- Represented $60 billion public company in government investigation for accounting fraud.
