Kirkland Advises Altaris on Acquisition of Clarivate's Life Sciences & Healthcare Business
Kirkland & Ellis advised Altaris, LLC on a definitive agreement to acquire the Life Sciences & Healthcare (LS&H) business from Clarivate plc (NYSE: CLVT). LS&H is comprised of the Cortellis and Decision Resources Group portfolios and will operate as an independent company under Altaris’ ownership following the closing of the transaction. The transaction is expected to close in the second half of 2026, subject to the satisfaction of customary closing conditions and receipt of required regulatory approvals. The deal includes an aggregate purchase price of $600 million, consisting of $500 million in cash payable at closing (subject to customary adjustments for cash, indebtedness, working capital and transaction expenses), $25 million in deferred consideration and the issuance of a $75 million unsecured senior note by an affiliate of buyer to a subsidiary of Clarivate.
